Selling a Property With an Absent Freeholder

Quick answer

An absent (untraceable) freeholder complicates a leasehold sale because you cannot get the management pack, ground-rent receipts, or any required consents from them. The usual solutions are indemnity insurance (to cover the missing information/consent), or, for a lease extension or freehold purchase, a court/tribunal route for absent landlords. It is sellable — many absent-freeholder flats sell with indemnity insurance — or a cash buyer will purchase with the position disclosed and complete in 7-28 days.

Flats sell on a different clock — lease length, service charges and cladding all matter.

Why an absent freeholder is a problem

A leasehold sale normally needs information and consents from the freeholder or managing agent — the management pack (LPE1), ground-rent and service-charge details, and sometimes consent for the sale or for alterations. If the freeholder is absent or untraceable (a common situation with older or dormant freeholds), you cannot obtain these, which a buyer’s solicitor will flag. It does not make the flat unsellable, but it needs a workaround.

Two voluntary schemes — NAPB and TPO — are your only real safety net. Check for both.

Indemnity insurance — the common fix

The usual, practical solution is indemnity insurance: a one-off "absent freeholder" or "missing information/consent" policy that protects the buyer and lender against the risks of the missing pack, consents or receipts — allowing a mortgage sale to proceed. It is widely used for exactly this situation and is relatively inexpensive. Your conveyancer arranges it. Combined with disclosure of the absent freeholder, it satisfies most buyers and lenders.

If the issue is a short lease as well as an absent freeholder, there are statutory court routes to extend the lease or buy the freehold even when the landlord cannot be traced — though these take time (see short-lease selling).

Disclosure

Disclose the absent-freeholder position on the property information form, and provide whatever you have — your lease, any past ground-rent or service-charge records, and details of attempts to contact the freeholder. The buyer’s solicitor will want to know the position and arrange indemnity insurance. Honest information keeps the sale moving; the absent freeholder is a known, insurable issue rather than a hidden one.

Selling fast

Many absent-freeholder flats sell on the open market with indemnity insurance. If the issue (or an associated short lease) is deterring mortgage buyers, or you want speed, a cash buyer or investor will purchase with the position disclosed, accept or insure the risk, and complete in 7-28 days without a lender to satisfy.
